Selling & Transferring OMN

Overview

The Omnes Investor Portal allows investors to sell or transfer their OMN holdings directly through the built-in secondary market interface. All transactions occur between whitelisted investors only, ensuring full compliance with applicable securities and AML requirements. This feature provides investors with flexibility and liquidity while maintaining the integrity and compliance of the OMN ecosystem.


Secondary Market Access

Once approved for trading, investors will see a dedicated Buy/Sell section within the Omnes Investor Portal. This section uses Tokeny’s Billboard framework, which facilitates compliant, peer-to-peer (P2P) secondary transfers of tokenized securities.

OMN investors can:

  • View available buy and sell offers from other qualified investors.

  • Create new offers specifying quantity, price, and contact details.

  • Negotiate directly with counterparties to agree on transaction terms.

Omnes acts only as a technology and information provider, not a market maker or exchange, ensuring the platform remains compliant with global securities laws.


Billboard Feature

The Billboard enables direct peer-to-peer liquidity between qualified investors. When activated, the Billboard displays all open offers for OMN sales or purchases, allowing investors to engage directly with verified counterparties.

How it works:

  1. Eligibility-Gated Access – Only KYC-verified and eligible investors can view or post offers.

  2. Direct Negotiation – Investors can reveal counterparties’ contact details and negotiate terms off-platform.

  3. Peer-to-Peer Execution (DvD) – Once both parties agree, they settle via a Delivery versus Delivery (DvD) transaction.

A DvD transaction ensures the OMN tokens and payment (USDC or USD) are exchanged simultaneously between counterparties. This mechanism eliminates counterparty risk by guaranteeing that both sides deliver at the same moment without the need for a third-party intermediary.


Settlement Process

After a trade is agreed:

  1. Both investors confirm trade details within the Investor Portal.

  2. The DvD settlement executes on-chain, transferring OMN tokens and payment simultaneously.

  3. Updated balances immediately appear under each investor’s Portfolio section.

Transactions are recorded on the blockchain, and confirmations are stored within each investor’s account record for auditability.


Compliance & Restrictions

  • Whitelisted Transfers Only: Transfers can only occur between verified, eligible investors approved by Omnes’ compliance system.

  • Jurisdictional Controls: The platform automatically prevents transfers to non-eligible jurisdictions under OMN’s Reg S framework.
